1995 A BILL FOR An Act to amend the Corporations (Queensland) Act 1990

 


 

s1 4 s5 Corporations (Queensland) Amendment The Parliament of Queensland enacts-- 1 title 2 Short Clause 1. This Act may be cited as the Corporations (Queensland) Amendment 3 Act 1995. 4 5 Commencement Clause 2. This Act commences on a day to be fixed by proclamation. 6 amended 7 Act Clause 3. This Act amends the Corporations (Queensland) Act 1990. 8 of s 40 (Operation of Division) 9 Amendment Clause 4. Section 40(1)(a), `matters other than criminal matters ("civil" 10 matters)'-- 11 omit, insert-- 12 `civil matters'. 13 of s 41 (Interpretation) 14 Amendment Clause 5. Section 41(1)-- 15 insert-- 16 ` "civil matter" means a matter other than a criminal matter. 17 "Corporations Law" has the extended meaning given by subsection (2). 18 "lower court" means a court of a State or Territory that is not a superior 19 court. 20 "superior court" means the Federal Court of Australia, the Supreme Court 21 of a State or Territory, the Family Court or a State Family Court. 22

 


 

s6 5 s8 Corporations (Queensland) Amendment "superior court matter" means a civil matter the Corporations Law clearly 1 intends (for example, by use of "the Court") to be dealt with only by 2 a superior court.'. 3 of new s 42B 4 Insertion Clause 6. After section 42A-- 5 insert-- 6 of lower courts 7 `Jurisdiction `42B.(1) Subject to the Administrative Decisions (Judicial Review) Act 8 1977 (Cwlth), section 9 as it applies as a law of Queensland, jurisdiction is 9 conferred on the lower courts of Queensland and of each other State and the 10 Capital Territory with respect to civil matters, other than superior court 11 matters, arising under the Corporations Law of Queensland. 12 `(2) The jurisdiction conferred on a lower court by subsection (1)-- 13 (a) is subject to the court's general jurisdictional limits, so far as they 14 relate to the amounts, or the value of property, with which the 15 court may deal; but 16 (b) is not subject to the court's other jurisdictional limits.'. 17 of s 43 (Appeals) 18 Amendment Clause 7. Section 43(4)-- 19 omit, insert-- 20 `(4) An appeal may not be instituted from a decision of a court (not being 21 a State Family Court) of another State to the Federal Court, to the Family 22 Court, to a State Family Court of that State or to a court of a different State 23 or of the Capital Territory.'. 24 of s 44A (Transfer of proceedings by Family Court and 25 Amendment State Family Courts) 26 Clause 8.(1) Section 44A(2), `the Supreme Court'-- 27

 


 

s9 6 s9 Corporations (Queensland) Amendment omit, insert-- 1 `another court'. 2 (2) Section 44A(2), `that Supreme Court'-- 3 omit, insert-- 4 `the other court'. 5 of new s 44AA 6 Insertion Clause 9. After section 44A-- 7 insert-- 8 of proceedings in lower courts 9 `Transfer `44AA.(1) This section applies to a proceeding with respect to a civil 10 matter arising under the Corporations Law of Queensland in a lower court 11 (the "first court") having jurisdiction under section 42B. 12 `(2) If it appears to the first court that, having regard to the interests of 13 justice, it is more appropriate for the proceeding, or an application in the 14 proceeding, to be determined by another court (the "second court") having 15 jurisdiction in the matters for determination in the proceeding or application, 16 the first court may take action under whichever of subsections (3) and (4) 17 applies. 18 `(3) If the second court is also a lower court, the first court may transfer 19 the proceeding or application to the second court. 20 `(4) If the second court is a superior court, the first court may transfer the 21 proceeding or application to the relevant Supreme Court and recommend 22 that the proceeding or application be transferred by the Supreme Court to 23 the second court. 24 `(5) The relevant Supreme Court is not bound to comply with a 25 recommendation under subsection (4) and it may instead decide-- 26 (a) to deal with the proceeding or application itself; or 27 (b) to transfer the proceeding or application to another court (which 28 could be the first court). 29

 


 

s 10 7 s 13 Corporations (Queensland) Amendment `(6) Nothing in this section allows the relevant Supreme Court to transfer 1 the proceeding or application to another court otherwise than under 2 section 44 and the other requirements of this Division. 3 `(7) In this section-- 4 "relevant Supreme Court" means the Supreme Court of the State or 5 Territory of which the first court is a court.'. 6 of s 44B (Further matters for a court to consider when 7 Amendment deciding whether to transfer a proceeding) 8 Clause 10.(1) Section 44B, `or 44A'-- 9 omit, insert-- 10 `, 44A or 44AA'. 11 (2) Section 44B-- 12 insert-- 13 `(c) the other courts that have jurisdiction to deal with the proceeding 14 or application.'. 15 of s 44C (Transfer may be made at any stage) 16 Amendment Clause 11. s 17 9 s 18 Corporations (Queensland) Amendment (3) Section 50(2)(a), `or a State Family Court'-- 1 omit, insert-- 2 `, a State Family Court or a particular lower court of Queensland or of 3 another State or of the Capital Territory'. 4 (4) Section 50(2), `or that State Family Court'-- 5 omit, insert-- 6 `, that State Family Court or that lower court'. 7 of s 51 (Rules of the Supreme Court) 8 Amendment Clause 17.(1) Section 51-- 9 insert-- 10 `(1A) When a lower court of Queensland is exercising jurisdiction with 11 respect to matters arising under the Corporations Law of Queensland, the 12 court must apply the rules of court made under subsection (1), with all 13 necessary changes.'. 14 (2) Section 51(2) and (3), `the Supreme Court'-- 15 omit, insert-- 16 `a court'. 17 (3) Section 51(2) and (3), `that Court'-- 18 omit, insert-- 19 `that court'. 20 of s 60 (Interpretation of some expressions in the ASC 21 Amendment Law, and the ASC Regulations, of Queensland) 22 Clause 18. s 19 10 s 21 Corporations (Queensland) Amendment of s 75 (Application of Commonwealth Evidence Act) 1 Replacement Clause 19. Section 75-- 2 omit, insert-- 3 of Commonwealth Evidence Act 4 `Application `75.(1) For the purposes of the ASC Law of Queensland, Part 3 the 5 following provisions of the Evidence Act 1995 (Cwlth) apply as a law of 6 Queensland-- 7 · Part 2.2 (Documents) 8 · section 69 (Exception: business records) 9 · section 70 (Exception: contents of tags, labels and writing) 10 · section 71 (Exception: telecommunications) 11 · section 147 (Documents produced by processes, machines and 12 other devices in the course of business) 13 · Part 4.6, Division 2 (Proof of certain matters by affidavits or 14 written statements). 15 `(2) Those provisions of the Evidence Act 1995 (Cwlth) apply to an 16 examination in the same way as they apply to a proceeding to which that 17 Act applies under section 4 of that Act.'. 18 of s 91 (Conferral of functions and powers in relation to 19 Amendment cooperative scheme laws) 20 Clause 20. Section 91(1)(b), `as if the offence'-- 21 omit, insert-- 22 `in relation to offences against the laws of the Commonwealth as if the 23 offence against the cooperative scheme law'. 24 of new Div 6 25 Insertion Clause 21. s 21 11 s 21 Corporations (Queensland) Amendment insert-- 1 `Division 6--Application and saving provisions relating to amendments 2 to this Act 3 4 `Interpretation `96A. In this Division-- 5 "Court" means the Federal Court or the Supreme Court of a State or 6 Territory. 7 "jurisdiction amendments" means the amendments made by the 8 Corporations (Queensland) Amendment Act 1995, sections 4 to 17. 9 "jurisdiction commencement" means the commencement of the 10 jurisdiction amendments. 11 of jurisdiction amendments--general 12 `Application `96B. The jurisdiction amendments apply to proceedings commenced, or 13 recommenced, after the jurisdiction commencement, whether the cause of 14 action arose before or after that commencement. 15 of decision that court did not have jurisdiction 16 `Effect `96C.(1) This section applies if-- 17 (a) before the jurisdiction commencement, proceedings in respect of 18 a civil matter under the Corporations Law of Queensland were 19 commenced in a court (the "first court" ) other than the Court; 20 and 21 (b) the first court, or another court on appeal from a decision of the 22 first court, decided before the jurisdiction commencement that the 23 first court did not have jurisdiction in respect of the matter; and 24 (c) the decision that the first court did not have jurisdiction still stands 25 at the jurisdiction commencement; and 26 (d) the first court would have had jurisdiction in respect of the matter 27 if the jurisdiction amendments had commenced before the cause 28 of action arose. 29

 


 

s 21 12 s 21 Corporations (Queensland) Amendment `(2) The validity of the decision that the first court did not have 1 jurisdiction is not affected by the jurisdiction amendments. 2 `(3) The decision does not affect a recommencement of the proceedings 3 after the jurisdiction commencement. 4 of absence of decision that court did not have jurisdiction 5 `Effect `96D.(1) This section applies if-- 6 (a) before the jurisdiction commencement, proceedings in respect of 7 a civil matter under the Corporations Law of Queensland were 8 commenced in a court (the "first court" ) other than the Court; 9 and 10 (b) either-- 11 (i) no court expressly decided, before the jurisdiction 12 commencement, whether the first court had jurisdiction in 13 respect of the matter; or 14 (ii) a decision of the first court, or of another court on appeal 15 from a decision of the first court, that the first court had 16 jurisdiction in respect of the matter still stands at the 17 jurisdiction commencement. 18 `(2) For the purposes of consideration by a court, after the jurisdiction 19 commencement, of whether the first court had jurisdiction in respect of the 20 matter, the first court is taken to have had jurisdiction in respect of the 21 matter if it would have had that jurisdiction if the jurisdiction amendments 22 had commenced before the cause of action arose.'. 23 24 © State of Queensland 1995
