s1 6 s5 Community Services Legislation Amendment Bill 2001 The Parliament of Queensland enacts-- 1 PART 1--PRELIMINARY 2 1 Short title Clause 3 This Act may be cited as the Community Services Legislation 4 Amendment Act 2001. 5 2 Commencement Clause 6 Sections 6(1), 7, 8, 16(1), 17 to 28 and 30 to 32 commence on a day to be 7 fixed by proclamation. 8 PART 2--AMENDMENT OF COMMUNITY SERVICES 9 (ABORIGINES) ACT 1984 10 3 Act amended in pt 2 Clause 11 This part amends the Community Services (Aborigines) Act 1984. 12 4 Amendment of s 6 (Definitions) Clause 13 Section 6-- 14 insert-- 15 ` "Aboriginal Council Accounting Standards" see section 27B(1).'. 16 5 Amendment of s 17 (Times for election of councillors) Clause 17 (1) Section 17(2), `subsection (3)'-- 18 omit, insert-- 19 `subsection (1)'. 20

s 25 13 s 25 Community Services Legislation Amendment Bill 2001 25 Replacement of ss 53-55 Clause 1 Sections 53 to 55-- 2 omit, insert-- 3 `53 Membership of board 4 `(1) The board consists of at least 5, but not more than 8, members 5 appointed by the Governor in Council. 6 `(2) A person is qualified to be nominated by the Minister for 7 appointment as a member of the board only if the person-- 8 (a) has-- 9 (i) commercial or management skills and experience; or 10 (ii) other skills and experience relevant to the performance of 11 the board's functions; and 12 (b) is not disqualified under section 55C from being a member. 13 `(3) The board must include 2 members nominated by the Minister from 14 a panel of not less than 5 qualified persons proposed by the Island 15 Coordinating Council. 16 `54 Proposal of persons by Island Coordinating Council 17 `(1) This section applies for the proposal of persons by the Island 18 Coordinating Council under section 53(3). 19 `(2) The Minister must give the Island Coordinating Council a notice 20 stating a reasonable period within which the council may propose a panel 21 of not less than 5 persons who are qualified for membership of the board. 22 `(3) Subsection (4) applies if-- 23 (a) the Island Coordinating Council does not propose a panel of 24 persons within the period stated in the notice; or 25 (b) the Island Coordinating Council proposes a panel that consists of 26 less than 5 persons; or 27 (c) the persons, or any of the persons, proposed by the Island 28 Coordinating Council are not qualified to be appointed as 29 members of the board. 30

 


 

s 25 14 s 25 Community Services Legislation Amendment Bill 2001 `(4) The Minister must nominate 2 persons qualified to be appointed to 1 the board and the nominations are taken to have been of persons included 2 in a panel proposed by the Island Coordinating Council. 3 `(5) To remove doubt, if subsection (3)(b) applies, it is declared that a 4 nomination under subsection (4) may be of, or include, a person or persons 5 proposed by the Island Coordinating Council. 6 `55 Chairperson of board 7 `(1) The Governor in Council is to appoint a member of the board to be 8 the chairperson of the board. 9 `(2) A person may be appointed as the chairperson at the same time the 10 person is appointed as a member. 11 `(3) The chairperson holds office for the term decided by the Governor in 12 Council unless the person's term of office as a member ends sooner than 13 the person's term of office as chairperson. 14 `(4) A person may be appointed as the chairperson for not more than 15 2 consecutive terms. 16 `(5) A vacancy occurs in the office of chairperson if the person holding 17 the office resigns the office by signed notice of resignation given to the 18 Minister or ceases to be a member. 19 `(6) However, a person resigning the office of chairperson may continue 20 to be a member. 21 `55A Deputy chairperson of board 22 `(1) The board must appoint a deputy chairperson from its members 23 whenever there is a vacancy in the office, including a vacancy occurring 24 because the office has not been filled. 25 `(2) A vacancy occurs in the office of deputy chairperson if the person 26 holding the office resigns the office by signed notice of resignation given to 27 the chairperson, the person's term of office as a member of the board ends 28 or the person otherwise ceases to be a member of the board. 29 `(3) However, a person resigning the office of deputy chairperson may 30 continue to be a member. 31 `(4) The deputy chairperson is to act as chairperson-- 32 (a) during a vacancy in the office of chairperson; and 33

 


 

s 25 15 s 25 Community Services Legislation Amendment Bill 2001 (b) during all periods when the chairperson is absent from duty or, 1 for another reason, can not perform the functions of the office. 2 `55B Term of appointment 3 `A member of the board is to be appointed for a term of not more than 4 4 years. 5 `55C Disqualification from membership 6 `(1) A person can not become, or continue as, a member of the board if 7 the person-- 8 (a) is affected by bankruptcy action; or 9 (b) is, or has been, convicted of an indictable offence; or 10 (c) is, or has been, convicted of an offence against this Act. 11 `(2) For subsection (1)(a), a person is affected by bankruptcy action if 12 the person-- 13 (a) is bankrupt; or 14 (b) has compounded with creditors; or 15 (c) as a debtor, has otherwise taken, or applied to take, advantage of 16 any law about bankruptcy. 17 `55D Vacation of office 18 `(1) A member of the board is taken to have vacated office if the 19 member-- 20 (a) resigns his or her position on the board by signed notice of 21 resignation given to the Minister; or 22 (b) can not continue as a member under section 55C; or 23 (c) is absent without the board's permission from 3 consecutive 24 meetings of the board of which due notice has been given. 25 `(2) In this section-- 26 "meeting" means the following-- 27 (a) if the member does not attend--a meeting with a quorum 28 present; 29

 


 

s 25 16 s 25 Community Services Legislation Amendment Bill 2001 (b) if the member attends--a meeting with or without a quorum 1 present. 2 `55E When notice of resignation takes effect 3 `A notice of resignation under section 55(5), 55A(2) or 55D(1)(a) takes 4 effect when the notice is given to the Minister or the chairperson or, if a 5 later time is stated in the notice, the later time. 6 `55F Conduct of business 7 `Subject to this part, the board may conduct its business, including its 8 meetings, in the way it considers appropriate. 9 `55G Times and places of meetings 10 `(1) Board meetings are to be held at the times and places the 11 chairperson decides. 12 `(2) However, the chairperson must call a meeting if asked, in writing, to 13 do so by the Minister or at least the number of members forming a quorum 14 for the board. 15 `55H Quorum 16 `A quorum for the board is the number equal to one-half of the number 17 of its members or, if one-half is not a whole number, the next highest whole 18 number. 19 `55I Presiding at meetings 20 `(1) The chairperson is to preside at all meetings of the board at which 21 the chairperson is present. 22 `(2) If the chairperson is absent from a board meeting, the deputy 23 chairperson is to preside. 24 `(3) If the chairperson and the deputy chairperson are both absent from a 25 board meeting or the offices are vacant, a member chosen by the members 26 present is to preside. 27

 


 

s 25 17 s 25 Community Services Legislation Amendment Bill 2001 `55J Conduct of meetings 1 `(1) A question at a board meeting is decided by a majority of the votes 2 of the members present. 3 `(2) Each member present at the meeting has a vote on each question to 4 be decided and, if the votes are equal, the member presiding also has a 5 casting vote. 6 `(3) A member present at the meeting who abstains from voting is taken 7 to have voted for the negative. 8 `(4) The board may hold meetings, or allow members to take part in its 9 meetings, by using any technology allowing reasonably contemporaneous 10 and continuous communication between members taking part in the 11 meeting. 12 13 Example of `technology allowing reasonably contemporaneous and continuous 14 communication'-- 15 Teleconferencing. `(5) A member who takes part in a board meeting under subsection (4) is 16 taken to be present at the meeting. 17 `(6) A resolution is validly made by the board, even if it is not passed at a 18 board meeting, if-- 19 (a) a majority of the board members gives written agreement to the 20 resolution; and 21 (b) notice of the resolution is given under procedures approved by 22 the board. 23 `55K Minutes 24 `(1) The board must keep-- 25 (a) minutes of its meetings; and 26 (b) a record of any resolutions made under section 55J(6). 27 `(2) Subsection (3) applies if a resolution is passed at a board meeting by 28 a majority of the members present. 29 `(3) If asked by a member who voted against the passing of the 30 resolution, the board must record in the minutes of the meeting that the 31 member voted against the resolution. 32

 


 

s 26 18 s 26 Community Services Legislation Amendment Bill 2001 `55L Disclosure of interests 1 `(1) This section applies to a member of the board (the "interested 2 person") if-- 3 (a) the interested person has a direct or indirect interest in an issue 4 being considered, or about to be considered, by the board; and 5 (b) the interest could conflict with the proper performance of the 6 person's duties about the consideration of the issue. 7 `(2) As soon as practicable after the relevant facts come to the interested 8 person's knowledge, the person must disclose the nature of the interest to a 9 board meeting. 10 `(3) Unless the board otherwise directs, the interested person must not-- 11 (a) be present when the board considers the issue; or 12 (b) take part in a decision of the board about the issue. 13 `(4) The interested person must not be present when the board is 14 considering whether to give a direction under subsection (3). 15 `(5) If there is another person who must, under subsection (2), also 16 disclose an interest in the issue, the other person must not-- 17 (a) be present when the board is considering whether to give a 18 direction under subsection (3) about the interested person; or 19 (b) take part in making the decision about giving the direction. 20 `(6) If-- 21 (a) because of this section, a board member is not present at a board 22 meeting for considering or deciding an issue, or for considering 23 or deciding whether to give a direction under subsection (3); and 24 (b) there would be a quorum if the member were present; 25 the remaining persons present are a quorum of the board for considering or 26 deciding the issue, or for considering or deciding whether to give the 27 direction, at the meeting. 28 `(7) A disclosure under subsection (2) must be recorded in the board's 29 minutes.'. 30 26 Amendment of s 56 (Officers and employees of board) Clause 31 (1) Section 56(1)(a)-- 32
